Use

How We Use Your Information

We use personal data to:

— respond to enquiries from investors, partners, press and members of the public;

— assess investor eligibility and onboard institutional and qualified clients;

— carry out anti-money laundering, counter-terrorist financing, sanctions and know-your-client checks;

— administer investments, process subscriptions and redemptions, and provide portfolio reporting through the Client Login;

— send investor communications, fund updates and information about our investment products and solutions, where permitted;

— evaluate applications and manage recruitment;

— operate, secure and improve this website and our technology infrastructure; and

— comply with our legal, regulatory, tax and record-keeping obligations, and establish, exercise or defend legal claims.

04

Lawful Basis

Why We Are Allowed to Process Your Data

We rely on the following lawful bases under the UK GDPR:

Contract — where processing is necessary to enter into or perform an agreement with you, such as an investment or client services agreement.

Legal obligation — where we must process data to meet anti-money laundering, sanctions, tax reporting or other regulatory requirements.

Legitimate interests — where processing is necessary to run and develop our business, respond to enquiries, manage risk, secure our systems and recruit talent, provided those interests are not overridden by your rights.

Consent — where you have given consent, for example to receive certain marketing communications. You may withdraw consent at any time.

05

Sharing

Who We Share Information With

We do not sell your personal data. We may share it with:

— Vertex Labs offices and affiliates, including our teams in London, New York, Dubai and Singapore;

— fund administrators, custodians, prime brokers, exchanges, trading counterparties and banking partners involved in managing investments;

— identity verification, compliance screening, IT, hosting, communications and security service providers acting on our instructions;

— professional advisers, including auditors, lawyers and tax advisers; and

— regulators, tax authorities, law enforcement and courts where required by law or to protect our rights.

All third parties are required to protect your data and use it only for the purposes we specify.

06

Global

International Transfers

As a firm with a global presence, we may transfer personal data outside the United Kingdom, including to the United States, the United Arab Emirates and Singapore. Where a destination country does not have an adequacy decision, we put appropriate safeguards in place, such as the UK International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses.

07

Retention

How Long We Keep Information

We keep personal data only for as long as necessary for the purposes described in this policy. Client and investor records, including due diligence and transaction records, are generally retained for at least five years after the end of the relationship, or longer where required by anti-money laundering, tax or other regulatory obligations.

General enquiries are typically retained for up to two years. Unsuccessful job applications are typically retained for up to twelve months unless you ask us to keep them for future opportunities.

08

Security

How We Protect Your Data

We apply the same institutional standards to data protection that we apply to risk management. Our safeguards include encryption in transit, access controls based on the principle of least privilege, secure authentication for the Client Login, monitoring of our systems, and confidentiality obligations for staff and service providers.

No method of transmission over the internet is completely secure. Please keep your login credentials confidential and contact us immediately if you suspect unauthorised access to your account. Vertex Labs will never ask you to disclose your password or the private keys or seed phrases of any digital asset wallet.
